“The directors, having assessed the responses to their enquiries of the directors of the company's parent, BMW (UK) Limited, have no reason to believe that a material uncertainty exists that may cast significant doubt about the ability of BMW Group to continue as a going concern or its ability to continue with the current banking arrangements. On the basis of their assessment of the company's financial position and of the enquiries made of the directors of BMW (UK) Limited, the company's directors have a reasonable expectation that the company will be able to continue in operational existence for the foreseeable future. Thus, they continue to adopt the going concern basis of accounting in preparing the financial statements.”

- “The company, and other Group entities, is a Defendant to group proceedings in the English High Court relating to allegations concerning the NOx emissions of certain Euro 5 and Euro 6 diesel engined vehicles under a Group Litigation Order ("GLO"). The proceedings are being case managed alongside other similar claims aimed at other vehicle manufacturers. BMW's GLO is not one of the 'lead' GLOs. A judgment on the lead GLO proceedings on liability for certain, but not all, heads of claim is expected in July 2026, and a trial on quantum is scheduled for October 2026.”
