- “In August 2024, the Group announced that a subsidiary of Hartree Partners, LP ("Hartree", a global energy and commodities trading company) had acquired all outstanding A2 and B1 Senior Secured Legacy Debt and entered into an Option Framework Agreement ("OFA") for the sale of various assets, including the Commodities Group. On 30 June 2025, Hartree exercised its option to acquire the Commodities Group ("MCL") through the signing of the Securities Purchase Agreement ("SPA") with the transaction completing on 1 July 2025. The Group also entered into a SPA to sell ED&F Man Chile Holdings SPA and its subsidiaries, including IANSA, on 30 June 2025 this transaction completed on 6 March 2026. Following the acquisition, the principal revenue generators of the Group will have been sold. Therefore, Group management have committed to the orderly wind-down of the remaining entities of the Group, including the Company.”
