“At 31 December 2025, the Company had net assets of 547.0 million (2024: 2,656.9 million). Included in current liabilities are 23.1 million (2024: 2.3 million) of amounts due to parent undertakings which are repayable on demand. The directors have considered this position, together with the Company's and the Group's budgets and positive net current assets position. These forecasts were subject to a range of sensitivities including a severe but plausible scenario together with the likely effectiveness of mitigating actions and further detail included within the notes to the Financial Statements section 2.1.1. Froneri HoldCo S.a r.l., the company's parent undertaking, has provided a letter of financial support to the Company which will cover the foreseeable future and will not be withdrawn within the next 12 months.”

“In 2025 the Group secured a 4.3 billion financing package which included additional term loan facilities, a 350 million RCF upsize and Froneri's inaugural Bonds. Following the refinancing, at 31 December 2025 the Company had in place a 2,000.0 million EUR denominated intercompany loan, which accrues interest at 4.833% (2024: 5.556%) and a 675.6 million USD denominated intercompany loan (USD 793.5 million), both with maturity dates of 30 September 2031, a 600.0 million EUR denominated intercompany loan, which accrued interest at 4.750%, and a 493.8 million USD denominated intercompany loan (USD 580.0 million), both with a maturity date of 01 August 2032, a 425.7 million USD denominated intercompany loan (USD 500.0 million), which accrues interest at 6.122% with a maturity date of 23 September 2032.”
