• “On 13 October 2025, the entire issued share capital of Howard Ventures Limited (HVL), the Company's ultimate parent company, was acquired by Howard Investment Company Limited (HICL), a company that had been under common control. HVL cancelled its existing shares which created a reserve. This reserve was then applied to issue 16,303,648 new and fully paid up £1 ordinary shares to HICL. In return, HICL accepted these shares as consideration for its issuance of 4,801 B ordinary shares and 28,662,846 0% redeemable preference shares to the previous shareholders of HVL. The total consideration paid was £29.9m.”
