“Based on the work we have performed, we have not identified any material uncertainties relating to events or conditions that, individually or collectively, may cast significant doubt on the company's ability to continue as a going concern for a period of at least twelve months from when the financial statements are authorised for issue. In auditing the financial statements, we have concluded that the directors' use of the going concern basis of accounting in the preparation of the financial statements is appropriate.”

- “It has been brought to the attention of the Directors that the surrender of UK tax losses between Energizer's UK entities in prior years (in line with the Corporation tax Act 2010) without consideration represents a distribution of assets with intrinsic value from the respective company for which the company has not been compensated. After engaging with the company's tax experts and legal advisors, the directors have concluded that reasonable compensation should be assessed for all prior financial year losses claimed up to and including financial year ended 30 September 2023 amounting to £1,532,031 for which the company will be required to compensate other UK entities. It is expected that any resulting accounting entries will be recognised in the financial year ending 30 September 2026.”
