“The Directors have received binding commitments from Artisan Topco Limited to provide financial support to the company to allow it to continue as a going concern for a period of at least 12 months from the date of these financial statements. In considering the ability of Artisan Topco Limited to provide that support, the Directors have satisfied themselves that the cash flow forecasts of the Group for a period of 12 months from the date of approval of these financial statements indicate that, taking account of reasonably possible downsides, the Group will have sufficient funds, to meet its liabilities as they fall due for that period. ... Accordingly, they continue to adopt the going concern basis of accounting in preparing these financial statements.”

• “On 30th September 2025, Artisan Topco Limited through one of its subsidiaries, namely Artisan Acquisitionco Limited, acquired 100% of the equity share capital of Aspire Topco Limited (previous parent of the company) pursuant to a share purchase agreement. As a result of the acquisition, Artisan Topco Limited became the ultimate parent entity of the Company. As part of the acquisition, a capital contribution was made to Aspire Holdco by its immediate parent undertaking, Aspire Topco. The capital contribution was partially used to redeem loan notes held in the Company, with the remaining balance invested in its immediate subsidiary undertaking.”
