("Banco Sabadell") reported that its Board of Directors, having received a binding offer from Banco Santander, S.A. for the acquisition of TSB Banking Group plc, resolved to submit to an Extraordinary General Shareholders' Meeting the proposed disposal of the entire share capital of TSB Banking Group plc (together with other capital instruments and securities) (hereinafter, the "Transaction"). This proposal was approved by the Extraordinary General Shareholders' Meeting held on 6 August 2025.”
- “The Transaction does not include the transfer of the technology platform supporting the operations of TSB Bank plc ("TSB"), which is owned by Sabadell Digital, S.A.U. and Sabadell Information Systems Limited.
